1. Use of Service

a.      These terms and conditions apply to all REPLAY site content, published user content, and content provided and shared on behalf of REPLAY partners, sponsors, and advertisers.  Content may include but is not limited to;  videos, text, graphics, music, audio, animation, publications, photos, AI, VR, products, services, software, code scripts, players, and/or any combination of those.  

b.      Services do not include 3rd party products, services, and websites that are not owned or controlled by REPLAY, in which REPLAY does not control or own.  Service terms and conditions may vary by each 3rd party.  

c.       Use of REPLAY services is at your own risk.

2. Your use of REPLAY

a.     
By utilizing REPLAY products, services, and content you agree to these terms and conditions, the REPLAY privacy policy, and the REPLAY community content share policy.  

b.      From time to time REPLAY will update it's policies and terms by both placement of the updated material on the REPLAY website, applications, and within published content.  You may request a current copy of the then published material by requested it from policy@1replay.com. 

3. Community REPLAY accounts

a.      To post community content within the REPLAY application you agree to all the REPLAY terms and conditions in doing so.

b.      You may not post content on behalf of another REPLAY user.

c.       You may not copy content published on REPLAY for distribution or broadcast

d.      You may not alter or modify published content without prior consent from the content creator, publisher, and/or owner

e.      You may not publish content that is deemed offensive within a public forum

f.        You may not publish content with advertising or sponsor references.  The solicitation for products or services within published content is forbidden.

g.      3^rd party software, robots, spiders, code, or AI, is prohibited unless provided in writing from REPLAY as an authorized developer.  develop@1replay.com

h.      You may not use REPLAY in a manner that is illegal and agree to follow all applicable laws.

4. REPLAY reserves the right to cancel any users account and/or use of service at any time.

5. Posting content with REPLAY

a.      You agree to allow REPLAY, it’s partners, and its affiliates a license to publish and distribute your content without restriction and without compensation.

b.      You are responsible for your content and any impact resulting from posting such content.

c.       You warrant that content you post is owned by you and does not infringe upon any 3^rd party copyright or listening of such content. You are solely responsible for the legal liability of submitting content that you do not own nor have authorization to post.

d.      You may not reference in any manner that REPLAY endorses your content or use the REPLAY name/logo within your content unless approved in writing

e.      REPLAY does not guarantee the storage and/or quality of published content. 

f.        REPLAY will immediately remove any content that conflicts with the statements of use as outlined herein.

6. REPLAY user account termination

a.      REPLAY reserves the right to terminate user accounts and/or access to the REPLAY without cause or notice.

b.      REPLAY has the sole right to determine what content is deemed unfit for community sharing within the REPLAY application.

7. Copyright Infringement

a.      If you feel that content published within the REPLAY application is in violation of copyright and/or licensing laws to include the Digital Millennium Copyright ACT (“DMCA”) contact REPLAY in writing;

·         Clear identification of the suspected content

·         Original content owner information and certification of the material in question

·         Copyrighted certification and/or work of art publication

·         Statement of facts to include the specific violation and law as applied from the content creator

b.      Material collected of the claim towards a copyright and/or licensing infringement will result in a temporary removal of the content for public sharing.

·         The publisher will be notified and allowed 14 days to show proof of content ownership and/or creation that does not violate any copyright or licensing laws.

·         REPLAY will make a decision of suspected content within 60 days and send notice to all parties upon a decision.

Limitation of Liability

REPLAY SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER INDIRECT DAMAGES, HOWSOEVER CAUSED, WHETHER ARISING IN CONTRACT, TORT OR OTHERWISE FROM THE PUBLICATION OF ANY CONENT WITHIN THE REPLAY COMMUNITY SHARE APPLICATION OR IN THE USE OF THE REPLAY APPLICATION.

REPLAY IS NOT RESPONSIBLE FOR ANY FINANCIAL LOSS DUE TO THE USE OF ITS PRODUCTS AND/OR SERVICES AND THOSE PRODUCTS AND/OR SERVICES OFFERED BY 3^RD PARTY COMPANIES AND/OR INDIVIDUALS WITHIN ITS APPLICATION.

REPLAY DOES NOT WARRANT NOR HAVE AN OPPINION PERTAINING THE ACURACY OR FACTUALITY OF CONTENT SHARED BY ITS USERS.

Terms of Service

REPLAY shall be governed by the internal substantive laws of the State of California, without respect to its conflict of law and principles.  Any claim or dispute against REPLAY that arises in whole or in part from the Service shall be decided exclusively by a court of competent jurisdiction located in San Diego County, California.
